1) Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of HoloNeos (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Service.

2) Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to create an account. HoloNeos is not intended for children under 13.

3) Description of the Service

HoloNeos is an AI-powered productivity assistant that supports email drafting, meeting preparation, research, document refinement, planning, and related workflows. We may update, modify, or discontinue features at any time. We do not guarantee uninterrupted availability.

4) Account Responsibility

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You must ensure your use complies with applicable laws.

5) Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for internal business or personal use.

You may not:

• Reverse engineer or attempt to extract source code.
• Resell or sublicense the Service.
• Use the Service to violate laws or third-party rights.
• Interfere with system security or integrity.

6) Third-Party Integrations

HoloNeos may allow optional integrations with third-party services, including Google and Microsoft accounts, to enable email, calendar, and contact-related functionality inside the Service.

By connecting a third-party account, you authorize HoloNeos to access only the permissions you explicitly approve during the OAuth consent process.

For Google integrations, HoloNeos may request read-only access to:

• Authenticate your account
• Create calendar events requested by the user
• Generate Google Meet meeting links
• Display Google Contacts inside email and calendar pages
• Provide recipient suggestions and autocomplete functionality

HoloNeos does not modify, delete, sell, or permanently store Google Contacts data.

Google user data is used solely to provide functionality requested by the user and is never used for advertising, profiling, or AI model training.

HoloNeos’ use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy, including the Limited Use requirements.

Your use of third-party integrations is also subject to the applicable terms and privacy policies of those third-party providers.

We are not responsible for interruptions, outages, or changes caused by third-party platforms or APIs.

7) Subscription Plans & Fees

HoloNeos offers subscription-based plans as described in-app at the time of purchase. By subscribing, you agree to pay all applicable fees and taxes and authorize recurring billing.

8) Consumer Withdrawal Rights (EU Consumers)

If you are purchasing as a consumer located in the European Union, you may have a statutory right to withdraw from your subscription within fourteen (14) days of purchase without providing a reason.

However, by activating your subscription and requesting immediate access to digital services, you expressly request that performance of the Service begin before the withdrawal period expires.

Where permitted by applicable law, you acknowledge that your withdrawal right may be reduced, partially fulfilled, or lost once digital services have been supplied or consumed.

Nothing in these Terms limits any mandatory consumer rights granted under applicable law.

9) Renewals & Cancellation

• Subscriptions renew automatically unless canceled before the renewal date.
• You may cancel through your account settings.
• Cancellation stops future billing but does not provide refunds unless required by law.

10) Refunds

Unless required by applicable law, subscription fees are non-refundable.

11) Payment Processing

Payments may be processed through authorized third-party payment providers. HoloNeos does not store complete payment card information on its own systems.

Use of payment services may also be subject to the terms and conditions of the applicable payment provider.

12) User Content

You retain ownership of content you submit to the Service. You grant HoloNeos a limited license to process that content solely to provide the Service. You are responsible for ensuring you have the right to use any submitted content.

13) AI-Generated Output Disclaimer

HoloNeos is an artificial intelligence system. Users are informed that responses, suggestions, recommendations, and generated content may be produced by AI technologies.

• HoloNeos uses artificial intelligence systems to generate responses and content.
• Outputs may be inaccurate, incomplete, misleading, or outdated.
• Generated content may contain factual errors or reflect misinterpretations of user input.
• Outputs are probabilistic in nature and are not guaranteed to be reliable.
• You are solely responsible for reviewing and verifying all outputs before using, sending, publishing, or relying on them.
• Outputs do not constitute professional advice, including legal, medical, financial, or other regulated advice.
• To the maximum extent permitted by law, HoloNeos is not liable for decisions or actions taken based on AI-generated outputs.

14) Intellectual Property

All software, design, branding, and related materials of HoloNeos are owned by Ak ITG or its licensors. You may not copy, distribute, or create derivative works except as permitted by law.

15) Suspension & Termination

We may suspend or terminate access if you breach these Terms, violate applicable law, or if required to protect the Service or other users. Upon termination, your license to use the Service ends immediately.

16) Disclaimer of Warranties

The Service is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

17) Limitation of Liability

To the maximum extent permitted by law, Ak ITG shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the greater of (a) the amount paid by you in the three (3) months preceding the claim, or (b) €100.

18) Indemnification

You agree to indemnify and hold harmless Ak ITG from claims arising out of your misuse of the Service or violation of these Terms.

19) Governing Law & Jurisdiction

These Terms are governed by the laws of Spain. Disputes shall be submitted to the competent courts of Ourense, Spain, unless mandatory consumer law provides otherwise.

20) Severability

If any provision of these Terms is found to be invalid, unenforceable, or unlawful, the remaining provisions shall remain in full force and effect.

21) Changes to Terms

We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance of the revised Terms.
